description: SEC Order 34-106402, the 17 Sep 2026 "Innovation Exemption" creating Tokenized Securities Venues (TSVs) and permissioned AMM pools for tokenized NMS stock, and what it does and does not do to the permissionless stock-paired memecoin world on Robinhood Chain. ## The primary source, not the screenshot

Ben pasted `https://x.com/frankdegods/status/2100699100060721334` (17 Sep 2026 21:31 UTC, 494 likes, 124,878 views, 266 bookmarks). **The image in it is an AI-generated interpretation with an SEC citation chip, NOT an official document, and its central premise ("if Robinhood decides to use Uniswap v4 Permissioned Pools") is Frank's own speculation. Nothing has been announced by Robinhood.** Treat the screenshot as a reading, not a fact.

The real source is **SEC press release 2026-90 / Order 34-106402, "SEC Issues Innovation Exemption to Facilitate the Trading of Tokenized NMS Stock and Request for Comment", issued 17 Sep 2026, effective immediately, sunsetting 17 Sep 2031 (five years).** Described by the SEC as "a way station to final rulemaking", 14 months in the making.

## What it creates

A new category, the **Tokenized Securities Venue (TSV)**: a platform that "brings together buyers and sellers of tokenized NMS stock by providing one or more AMM Liquidity Pools for permissioned participants" and sets access standards. Relief granted from the **exchange** definition (Exchange Act 3(a)(1) and Rule 3b-16) and, for liquidity providers using proprietary capital, from the **dealer** definition (3(a)(5)). It does NOT comprehensively resolve broker-dealer registration, ATS compliance or clearing.

Conditions: tokens must be **1:1 backed by real shares** and carry "the same rights and privileges as does traditional NMS stock" including voting and dividends · **written notice and an opportunity to object to the issuer** before trading an unaffiliated third party's stock · smart contracts "auditable, public, and deployed on a public, permissionless distributed ledger" (private bank chains and consortium networks are explicitly excluded) · trading must halt concurrently with any halt on the primary exchange · public disclosure of operations · **a TSV must publish a specified notice on its public website at least 30 days before operating and notify the SEC within one business day**.

## ⚠ What is EXCLUDED, and this is the part that matters to Ben's book

**Synthetic exposure is explicitly out.** Tokenized "linked securities or tokenized security-based swaps" that give price exposure without shareholder rights are not covered. An SEC spokesperson on synthetics: **"They can remain out in the wilds"**, declining to say whether they would ever get US clarity, and noting "very little interest on the derivative side in the US".

**Robinhood's EXISTING Chain stock tokens are exactly that excluded category, by Robinhood's own documentation (docs.robinhood.com/chain/stock-tokens):** they are **"tokenised debt securities"** giving "economic exposure to underlying securities" that "do not grant investors any legal or beneficial rights in, or against the issuer of, those underlying securities". **No voting. No direct dividends** (handled by an onchain multiplier adjusting the shares-per-token ratio). **Not offered to US persons, and restricted in the UK, Canada and Switzerland.** Freely transferable ERC-20s explicitly built for DeFi composability.

## ⚠⚠ THE ANSWER TO "DOES THIS MAKE THE LONG-ECOSYSTEM STOCK TOKENS ILLEGAL": NO.

1. **An exemption is permission, not prohibition.** It opens a new legal path that did not exist. Nothing legal on 16 Sep became illegal on 17 Sep.
2. **The existing tokens were never sold to US persons**, so they sit outside the retail jurisdiction this order addresses.
3. **The SEC said so in plain words**: synthetics "can remain out in the wilds". That is "not covered", not "banned".
4. The memecoins PAIRED to those tokens are not securities and pairing does not make them one.

**What actually changes is the upgrade path, and that is the real finding.** The official US product will be a different object: real shares, real rights, and it trades in a **permissioned pool where the venue approves every trader and every LP**. **Uniswap launched v4 Permissioned Pools on 24 July 2026**, two months before the order, so the rails already exist and Frank's guess is the obvious one. **A permissioned pool will not let an anonymous wallet pair a dog coin against NVDA.** So the market splits in two and the halves do not merge: a walled US venue on one side, the current permissionless offshore casino on the other.

**Therefore the thesis that dies is "our memecoin is paired to a tokenised stock, so when stocks go onchain properly the institutions arrive here".** They arrive somewhere else, behind a KYC gate. This is a slow structural de-rating of the stock-pairing narrative, not a legal event.

## ⚠ THE MARKET READ IT THE OPPOSITE WAY, AND THIS IS THE FACT THAT MATTERS FOR POSITIONING

Robinhood Chain 24h changes measured 18 Sep 2026 ~09:20 BKK, the day after the order: **INU +64.0% · MOO +68.7% · HOOKR +40.3% · ZZZ +31.9% · AI +23.3% · MEME +12.3% · PONS +11.7%** (PRM -20.8% is the only red name). The chain rallied hard. The crowd is trading "the SEC just legitimised onchain stocks and Robinhood is the obvious TSV", i.e. a chain-level green light, **not** the composability problem Frank is pointing at. **So the legality fear is not what is being priced, and fading the rally on a legal-risk argument would be fighting the wrong thesis.**

## Timeframe

Effective **now**. Sunset **17 Sep 2031**. A TSV needs a **30-day public notice** plus issuer notice and objection window before trading a given name. So a live Robinhood US TSV is **months, not years**. The dated starting gun is public and watchable: **Robinhood publishing that TSV notice on its own website.** That is the single event to monitor.

## Standing caveats

Not legal advice, and the secondary sources do not resolve the broker-dealer, ATS and clearing questions, nor the comment-period deadline. Re-read the order itself before acting on the fine print.

## The follow-up tweet, and the thing nobody in the thread found

Ben's second link `https://x.com/frankdegods/status/2100699895908671952` (17 Sep 21:34 UTC) is a **small reply inside Frank's own thread: 57 likes, 10,817 views, not a new post.** The exchange: **@Fityeth (115,110 followers) corrected him — "Only tweak is B. The SEC requires permissioned AMM pools, not specifically Uniswap. If Robinhood goes with Uniswap v4, then your read is spot on."** Frank replied **"I mean who else?"** linking Uniswap's own 25 Jul 2026 Permissioned Pools announcement (861 likes, 142,774 views). **So the only new content is Frank asserting Uniswap is the only realistic choice. That is an opinion, and it is the load-bearing assumption of the whole thread.** @PorscheMoney_ asked him directly "Are you saying to long uni?" and got no answer.

**Is "who else" right? Partly.** For: Uniswap v4 is already the AMM on Robinhood Chain (PoolManager `0x8366a39CC670B4001A1121B8F6A443A643e40951`) and Permissioned Pools shipped two months before the order. Against: the order lets a TSV **deploy OR designate** an AMM contract, so it can be Robinhood's own, and this is a company that just built its own chain and its own stack. Reasonable guess, not a fact.

**The two best replies beat the main post.**
- **@twocryptodogs, 17 followers and exactly right: "RH doesn't have tokenized stocks. They have 'stock tokens' that are debt instruments, not redeemable for the underlying shares, not able to be voted. They also do not qualify for the exemption and will have to remain offshore."** Matches Robinhood's own documentation word for word.
- **@OxSimpleFarmer (27,615): "permissionless autonomous defi doesn't even need the exemption per the SEC chairman."** UNRESOLVED — I could not source that chairman statement; flag it as a claim, not a fact.

**⚠⚠ WHAT I FOUND ON CHAIN THAT NOBODY IN THE THREAD DID, AND IT IS THE REAL RISK.**
The Robinhood SPY stock token **`0x117cc2133c37B721F49dE2A7a74833232B3B4C0C` is a BeaconProxy** (`proxy_type: eip1967_beacon`), implementation contract named **"Stock"** at **`0xb35490d6f9163DE4F80d88dc75c3516eb64C5aE2`**, verified, Solidity v0.8.33, 36 functions. **A beacon means Robinhood can upgrade EVERY stock token at once, in one transaction, rather than one by one.**

Powers already live in that implementation today: **`pause()` / `unpause()`** (freeze all transfers), `pauseOracle()` / `unpauseOracle()`, `mint(address,uint256)`, `burn(address,uint256)`, **`adminBurn(address,uint256)` — they can burn tokens out of ANY wallet, a clawback**, `updateMultiplier(uint256)` (the dividend lever), `setMetadata(string, string)`. Events include `TransferWithScaledUI` and `UIMultiplierUpdated`.

**Absent today: no whitelist, no blacklist, no transfer restriction, no KYC gate. Transfers are free FOR NOW.**

**So the composability that the entire LONG / stonk.fun / pair.fund / Pons stock-pairing economy rests on is a switch Robinhood owns, not a property of the chain.** The SEC does not have to ban anything; Robinhood can add a transfer whitelist to the whole stock-token fleet through the beacon whenever it suits them. **That is a far more concrete and faster-acting risk than the regulatory one, and it is currently unpriced and undiscussed.** Robinhood has no incentive to flip it today (chain activity is their product), but the switch exists and it is one transaction.

**Political context and timeframe, from Chairman Atkins (Decrypt, 17 Sep 2026): "Congress was unsuccessful in advancing the CLARITY Act despite tireless efforts of many. So today, the SEC is taking a significant step forward, within its statutory authority."** The CLARITY Act failed in the Senate that week, so the SEC acted alone. Officials call the exemption **"a temporary bridge toward permanent rulemaking and potentially future legislation"**.

**⚠ NEW RISK FOR LANE BETS: issuers get a veto.** A TSV must give an unaffiliated issuer written notice and an opportunity to object, reported as a **30-day** window. So Apple or Nvidia can refuse to have an official tokenised version. **That directly threatens the "one memecoin per stock lane" thesis in [[stonks-onchain-lanes]] and [[rh-memestock-arena]]: a lane whose underlying issuer objects never gets its legitimate counterpart.** Note the tension with Vlad Tenev's own public line that companies should not be allowed to veto tokenised versions of their stock.

**The implied trade in Frank's thread is UNI, and he never says it.** Everything else in the replies is people attaching the news to their own bags (HOOKR, STONKBROKER, o1_exchange, stockmonrh, INU).

## The composability/fungibility question (@weraesfddsaf, 18 Sep 05:25, 2 likes, 1.9K views) — the sharpest question asked in the whole cycle, and the answer required measuring the chain

His question: *"How would they be composable? They are functionally not fungible if the liquidity pools are separate. What happens to the current tokens in vaults and v4 liquidity pools if there are new tokens and permissioned pools for everything. Could be messy for current meme vaults?"*

**HE IS RIGHT ON FUNGIBILITY, AND FOR A HARDER REASON THAN HE GAVE.** It is not merely that the pools are separate. Old and new will be **separate contracts with different legal objects**: today's are tokenised DEBT securities with no voting and no dividends, sold only to non-US persons; the exempt version must be 1:1 share-backed with full shareholder rights, for US persons. **You cannot upgrade one into the other, because the gap is legal structure, not code.** No arbitrage path exists unless Robinhood builds a bridge between a non-US debt instrument and a US registered share, which is precisely what is not allowed. So expect **two permanent, separately-priced objects for the same underlying**. Frank's "they likely could be composable though" is true of the OLD tokens (already composable) and false of the NEW ones (a permissioned pool checks identity, so no anonymous memecoin can pair against them).

**MEASURED 18 Sep 2026 — the stock-token float locked in Uniswap v4 on Robinhood Chain. PoolManager `0x8366a39CC670B4001A1121B8F6A443A643e40951`, balances read directly, priced on DexScreener:**

**TOTAL: $30,958,236 of stock tokens sit inside Uniswap v4 pools = 42.5% of the entire $72,892,926 stock-token float on the chain.** SPY alone: 69,939 holders, 11,954,115 transfers, **$62,330,514 of 24h volume**. No mints or burns in recent transfer history, so this is pure secondary trading through the v4 PoolManager and Universal Router `0x8876789976decbfcbbbe364623c63652db8c0904`.

**⚠⚠ BUT THE OBVIOUS INFERENCE FROM THAT NUMBER IS WRONG, AND THIS CORRECTS THE FRAMING EVERYONE INCLUDING ME HAS BEEN USING. THE MEMECOIN ECONOMY IS **NOT** COLLATERALISED BY STOCK TOKENS.** Sampling the deepest three pools of seven live names:

| coin | quote of deepest pool | liquidity |
|---|---|---|
| AI | **WETH** | $4,255,189 |
| MEME | **USDG** | $1,387,292 |
| INU | **AAPL** | $910,555 |
| ZZZ | **ETH** | $471,871 |
| SCHIFFY | **GLD** | $471,388 |
| MOO | **ETH** | $62,380 |
| BOXY | **HOOD** | $40,638 |

**Sampled total: $910,555 stock-quoted against $11,274,486 quoted in USDG, ETH, WETH or GLD.** So the big names quote against stablecoins and ETH, and the $30.96M of stock tokens in v4 is overwhelmingly **Robinhood's own onchain stock-trading pairs (SPY/USDG and the like), not memecoin collateral.**

**CONSEQUENCES, and they are the useful part:**
1. **For most Robinhood-Chain memecoins the answer to "could this get messy" is NO.** They are quoted in USDG and ETH and are structurally indifferent to what happens to stock tokens.
2. **The exposure is concentrated in the genuine lane coins** — INU/AAPL, BOXY/HOOD, and the rest of the one-memecoin-per-stock thesis in [[stonks-onchain-lanes]] and [[rh-memestock-arena]]. Those carry the fungibility problem directly, and they are the ones to re-rate down on this news, not the chain as a whole.
3. **The $30.96M at stake is mostly Robinhood's own business**, which is exactly why they will not casually break it. It also means the beacon switch risk is aimed at their own revenue first.
4. Caveat stated plainly: this is a **seven-coin sample of top pools, not a chain-wide sweep.** A full sweep of every v4 pool by quote asset is the next measurement and would settle the ratio properly.

## ⚠⚠ FULL CHAIN SWEEP, 18 Sep 2026, AND IT FORCES TWO CORRECTIONS OF MY OWN NUMBERS

**CORRECTION 1 to my previous message: the seven-coin sample ("$910,555 stock-quoted vs $11,274,486 not") was directionally right but incomplete.** The full sweep is below and the conclusion strengthens, but the sample understated the count of stock-quoted names.

**⚠⚠ CORRECTION 2, THE IMPORTANT ONE, AND IT NEARLY SHIPPED AS A HEADLINE: GECKOTERMINAL'S `reserve_in_usd` IS GARBAGE ON THIS CHAIN.** The sweep returned **AI / NVDA with $31,893,062 of liquidity**, which would have made it 70% of all stock-quoted liquidity and the centrepiece of the answer. **DexScreener shows that same pool at $1,352 of liquidity and $2,022 of 24h volume. GeckoTerminal was wrong by a factor of about 23,600.** It was caught by an independent on-chain bound: total NVDA held inside the v4 PoolManager across ALL pools is only 33,841.35 NVDA = $7,473,184, so a single AI/NVDA pool cannot hold $31.9M. GT also overstated MOO/MU ($3,506,386 vs a real $1,416,128) and musebook/META ($3,783,636 vs $1,394,036). **This confirms the standing rule in [[data-access]] the hard way: use GeckoTerminal to ENUMERATE pools, never to size them. Every GT reserve figure must be re-read on DexScreener before it is quoted, and sanity-bounded against the token's on-chain balance in the PoolManager.**

**THE SWEEP: top 200 Robinhood Chain pools by 24h volume (GeckoTerminal enumeration, 10 pages, 129 distinct tokens), classified by QUOTE asset. A Robinhood stock token is identified definitively by the string "Robinhood Token" in its name.**

| quote asset | pools | liquidity $ | 24h volume $ |
|---|---|---|---|
| **WETH** | 92 | 161,567,493 | 722,411,021 |
| **USDG** | 76 | 108,746,086 | 387,163,404 |

| other (ATC, MEME, AI, UNI, PONS, ASTEROID, Hound) | rest | ~37.7M | ~18.6M |

**TOP-200 TOTAL: $353,706,923 liquidity, $1,184,844,224 of 24h volume. WETH + USDG alone are 76.4% of liquidity and 93.7% of volume.**

**TOTAL STOCK-QUOTED MEME LIQUIDITY: $6,996,121 both sides, so roughly $3,498,060 of actual stock-token exposure. That is 2.0% of the chain's top-200 liquidity. The entire "memecoins are collateralised by tokenized stocks" narrative is a 2% phenomenon.** ⚠ Note a ticker collision: the MU-quoted MOO is `0xd9db30bb0d2b8d2eae3826a1372117e058791e18`, NOT the `0xc103ac00a25173870c909223c5676d50bf5728b2` MOO screened earlier.

**⚠⚠ AND THE STORY WAS NEVER TRUE IN THE FIRST PLACE. The "become the main liquidity pool for NVIDIA" thesis is not killed by the SEC; it never happened.** Real stock trading on this chain runs through stock-as-BASE pools quoted in USDG and WETH: **52 pools, $54,957,865 liquidity, $205,459,391 of 24h volume**, led by SPY/USDG $8.06M, NVDA/USDG $6.44M ($19.4M/day), META/USDG $3.33M ($12.3M/day), SPCX/USDG $2.06M ($17.0M/day), GOOGL/USDG $1.24M ($10.7M/day). **NVDA/USDG does $19,436,734 a day; AI/NVDA does $2,022. The meme pool is not the venue and never was.**
**The one genuine partial exception worth stating fairly: MU/USDG does $1,069,968/day against MOO/MU at $968,277/day, so MOO really is about half the Micron flow on the chain.** It is the only name where the "we are the liquidity" claim has any substance, and even there the official US MU token will be a different contract in a permissioned pool that MOO can never host.

**WHO GETS THE PERMISSIONED STOCKS? Commissioner Peirce's own statement (sec.gov, 17 Sep 2026): the exemption is "available to U.S. persons, including incumbents and new entrants", and a TSV "sets the standards governing participant access to trading within those pools". Nothing bans non-US persons and nothing guarantees them access; the venue decides and each home jurisdiction's rules still apply.** Practical shape: the US product exists to serve US persons who currently CANNOT buy the offshore tokens, while non-US persons already have the offshore line. **So Ben, trading from Bangkok and Dubai, most likely will NOT be inside the permissioned pools. He stays on the offshore rails he already uses — which is also why the offshore tokens will not simply be switched off: they are the non-US product line.**

## ⚠⚠ THE FIRST ISSUER HAS SPOKEN, AND HE HAS BEEN AT WAR WITH ROBINHOOD FOR TWO WEEKS ALREADY

**Adam Aron, Chairman and CEO of AMC Entertainment (@CEOAdam, 354,042 followers), 17 Sep 2026 21:18 UTC, `https://x.com/ceoadam/status/2100695800733155760`, 2,391 likes, 724 retweets, 137,921 views.** He praises Atkins and the SEC, names the three conditions he cares about — **"Investor Protection Is Not Optional", "No Synthetics"** (tokens must carry full voting and dividend rights), **"Issuers Can Object"** — and then turns on Robinhood: *"@vladtenev and @DanGallagherDC ... I call on you now to adhere to the exact same standards internationally. **How hypocritical would it be if Robinhood's stock tokens abroad were to differ materially from stock tokens in the U.S.** on these hyper-important matters of investor protections, synthetics and issuer objections."*

**⚠ THIS IS NOT A ONE-OFF. It is the fourth escalation in two weeks, and the SEC just handed him a weapon:**

I find this practice to be contemptible, outrageous, disgusting**"*

- Aron has form here: he publicly killed the "AMC Token" copycat in 2022 as *"a total sham... blatant violation of our registered trademark"*, and refused a security-token NFT dividend as *"likely illegal"*. He is an experienced, litigious, media-fluent operator with a mobilised retail army.

**ROBINHOOD'S ANSWER WELCOMED THE ORDER — FOR AMERICA ONLY, WHICH IS EXACTLY THE GAP ARON IS ATTACKING.** Vlad Tenev (1,054,776 followers, 8,411 likes): *"Tokenization is coming to America. Thanks to the SEC's leadership, Americans can start to reap the benefits."* @RobinhoodApp (3,168 likes): *"Robinhood supports the @SECGov innovation exemption. **Americans deserve access**..."* Dan Gallagher: *"Great to see the SEC lead here."* **Not one word about the international product.**

**⚠⚠ THE LEGAL REALITY, AND IT IS THE POINT EVERYONE IS MISSING: ARON'S OBJECTION RIGHT DOES NOT REACH THE OFFSHORE TOKENS.** The SEC's issuer veto is a condition on a US **TSV**. The existing Robinhood stock tokens are issued by an offshore subsidiary to non-US persons and sit outside that regime entirely. **He can block tokenized AMC from a future US venue; he cannot use this order to touch the offshore token. That is precisely why his post is a hypocrisy appeal rather than a legal demand — offshore, he has no lever.** Best statement of this on X, @BossBlunts1 (140,361 followers): *"The Innovation Exemption does not let Robinhood offer its current Stock Tokens to people in the United States. Robinhood's tokens are tokenized debt securities issued by an offshore subsidiary."*

**THE LEVER HIS SHAREHOLDERS FOUND IS NOT SECURITIES LAW, IT IS TRADEMARK.** @wolf_of_ape_st (11,583): *"if you don't have company authorization, which is required, shareholders will have a CIVIL case against Robinhood for the infringements"*, pointing at the logo. **Verified: the AMC Robinhood Token serves AMC's own logo from `cdn.robinhood.com/ncw_assets/logos/0x05a3d1cd21d0c88145e82600e62e7e496e0f222b.png` and is named "AMC Entertainment Holdings, Inc. • Robinhood Token".** A trademark claim needs no SEC and no jurisdiction over the token, and Aron has already won this exact fight once.

**ON-CHAIN STATE OF THE TOKEN HE IS TALKING ABOUT, measured 18 Sep 2026.** AMC Robinhood Token **`0x05a3d1Cd21d0C88145E82600E62e7E496e0F222B`**, same BeaconProxy → "Stock" implementation `0xb35490d6f9163DE4F80d88dc75c3516eb64C5aE2`. **11,056 holders · 3,509,215 transfers · supply 1,246,548.911 · price $2.71 · market cap $3,380,207 · 24h volume $8,246,763.**

**⚠⚠ AND THE DETAIL THAT MAKES HIS CASE FOR HIM: the deepest pool for tokenized AMC anywhere on the chain is AMC / MEME at $2,252,192, ahead of AMC / USDG at $1,702,636.** The largest onchain venue for AMC stock is a pool quoted in a coin literally called **"A Meme Coin"**. `0x385f4f8ae47651ce5f58f5265395a669f8281e18`.
**Important direction check: AMC is the BASE and MEME is the QUOTE. So AMC depends on MEME, not the reverse. MEME's own deepest pools are MEME/USDG $1,347,332 and $511,249; MEME (mcap $34,199,054) is NOT structurally dependent on the AMC token.** Chinese CT (@Yuanshan0626) is nonetheless marketing the pairing: *"$AI 用英伟达做底池, $BONER配HIMS, $MEME 配AMC"*.

**WHAT THIS ADDS TO THE THESIS.** The regulatory risk to the offshore stock tokens was always going to arrive as **commercial and legal pressure from issuers, not as an SEC ban** — and it has now started, from the single most aggressive possible issuer, with a retail army, a trademark claim, and a two-week head start. **The realistic bad outcome is Robinhood voluntarily restricting or delisting individual stock tokens under issuer pressure, which the beacon at `0xb35490d6f9163DE4F80d88dc75c3516eb64C5aE2` lets them do fleet-wide in one transaction.** Watch for: any Robinhood statement about the INTERNATIONAL product, a formal AMC objection or cease-and-desist, and any other issuer joining. Aron going first makes the second one much cheaper.

## ⚠⚠⚠ MAJOR CORRECTION, 18 Sep 2026, triggered by Nate's post. I GOT THE BIGGEST POOL ON THE CHAIN WRONG, TWICE, IN OPPOSITE DIRECTIONS.

**What I told Ben yesterday: "AI/NVDA is a $1,352 dust pool doing $2,022 a day" and "stock-quoted meme liquidity totals $6,996,121". BOTH WRONG.**

**THE NUMBER THAT MISLED ME: DexScreener indexes this pool as `NVDA / AI` — the STOCK is the BASE and the MEMECOIN is the QUOTE.** My verification script filtered for pairs where the memecoin was the base, so it never saw the real pool and picked up an unrelated dust pool instead. Looking the pool up **by its address** settles it:

**`0xcbdfea90430a30ee4469c9902e120a77e7c7e4711d5643671c1d1957f2f1ce27` (created 14 Jul 2026): liquidity $7,074,466 · 12,427 NVDA + 12,880,972 AI · 24h volume $2,103,917 · 1,749 buys / 936 sells.** GeckoTerminal's $31,893,062 was still wrong (4.5x too high), so BOTH aggregators were unreliable on the same pool in opposite directions.

**STANDING RULE, now mechanical: never resolve a pool by token-side filtering. Pull the pool BY ADDRESS via `api.dexscreener.com/latest/dex/pairs/{chain}/{pairAddress}` and read `liquidity.base` / `liquidity.quote` directly. On stock-paired pools the stock is frequently the BASE, which inverts every naive filter.**

**CORRECTED meme ↔ stock pool liquidity on Robinhood Chain, every pool re-read by address:**

**TOTAL: $16,342,801, not $6,996,121. I was low by 2.3x.**

**⚠ AND THE CONCLUSION IT OVERTURNS: I wrote "the meme pool is not the venue and never was." That is FALSE for the flagship.** NVDA's venues on this chain, measured: the v3 USDG/NVDA pool `0xd4EB21209C4D6093f80B5b84f5C45cc093EA14a3` holds **14,685.79 NVDA**; the v3 WETH/NVDA pool `0x62AB521f71431f78ac374CdbadC6cda3c8916b6C` holds 3,370.91; **AI/NVDA holds 12,427.** So the memecoin pool holds about **85% as much NVDA as the main stablecoin pool** and is one of the two deepest NVDA venues on Robinhood Chain. My "never was true" line holds for the dust pairs and is wrong for AI. Total NVDA in the v4 PoolManager: 33,937.55 = $7,494,429.

## Nate (LONG co-founder) scored claim by claim

`https://x.com/natan_benish/status/2100641571230404609`, @Natan_benish (24,477 followers), 17 Sep 17:42 UTC, **454 likes, 25,833 views** — posted 4 hours after Robinhood welcomed the order and 3.5 hours before Aron's post. Bio: "Co-founder @longdotxyz / @joinlong_".

- **"~45k holders" → TRUE, understated. Blockscout: 48,646 holders**, 6,561,203 transfers, market cap $328,230,974, 24h volume $45,170,587.
- **"AI now has ~20k tokenized $NVDA shares" → OVERSTATED BY ~61%. Measured: 12,427 NVDA in the pool = $2,744,073.** I checked for a second AI/NVDA venue and there isn't one: the other large NVDA holders are USDG/NVDA v3 (14,685.79), WETH/NVDA v3 (3,370.91), an unidentified Proxy `0x94bAB9693Ba2f6358507eFfcbd372b0660AFfF9d` (3,311.57) and a TimelockController (1,481.99).
- **"roughly 0.5 share per holder" → REAL FIGURE IS 0.26.** 12,427 / 48,646. His arithmetic is right; his numerator is not.
- **"extremely liquid" → real but oversold.** $7,074,466 in the NVDA pool, roughly $15M across all AI pools, on a $328M cap = about 4.6% liquidity-to-cap.
- **"These will get more interesting as we start seeing fewer restrictions on US trading and more rights being baked into tokenized equities" → THIS IS THE LOAD-BEARING CLAIM AND THE SEC ORDER CUTS AGAINST IT.** Rights being "baked in" requires the 1:1 share-backed structure; the moment a token has real rights it must trade in a permissioned pool, and a permissioned pool cannot host AI. **The two halves of his sentence are mutually exclusive under the order he is writing after.**

**NET: the LONG founder's framing is directionally honest about what exists (a genuinely deep NVDA pool, ~49k holders, real fractional backing) and wrong about where it goes. The pool is real. The upgrade path is closed.**

## Ben's "DeFi Summer" analogy and "does LONG own the biggest offshore stock pool" — 18 Sep 2026. Thesis half right, ownership claim false.

**⚠ THE HISTORICAL PREMISE IS WRONG, AND CORRECTING IT MAKES HIS CASE STRONGER.** Americans were NOT excluded from DeFi Summer 2020 — US users farmed COMP and used Uniswap, Aave, Curve and Yearn freely; the geo-blocking came later (Uniswap front-end restrictions from 2021, the Aave/Uniswap/Balancer address bans after the Tornado Cash OFAC sanctions in Aug 2022). **The correct examples of "US excluded, still enormous" are Binance (began blocking US users in 2019 and became the largest exchange on earth), BitMEX, and — fittingly — GMX, built by the same dev screened in [[zzz-xvix-gmx-dev]].** The pattern he is describing is real; the example was just the wrong one.

**⚠⚠ BUT THE OWNERSHIP CLAIM IS FALSE BY 12.7x. ONDO GLOBAL MARKETS ALREADY OWNS THE OFFSHORE TOKENIZED-STOCK MARKET.**
- **Ondo Global Markets TVL: $926,763,044** (DefiLlama, 18 Sep 2026), on **Ethereum, BNB Chain and Solana** — not on Robinhood Chain at all.
- **Its eligibility page explicitly prohibits "U.S. persons"** and anyone ordering from US territory, alongside Afghanistan, Belarus, Cuba, Iran, North Korea, Russia, Syria. So it IS the offshore product, exactly the category Ben is asking about.
- **Robinhood Chain's entire stock-token float is $72,892,926.** Ondo is **12.7x** the size.
- Ondo carries **250+ tokenized stocks and ETFs**; Robinhood Chain has a couple of dozen.
- Market consolidation figures reported earlier in 2026: Ondo ~58% of the tokenized-stock market, xStocks ~24%.
- **The liquid expression of Ben's own thesis is therefore ONDO, a $1,692,692,685 token, not anything in the LONG ecosystem.**

**⚠ "THEY WILL NEVER GET VOTING RIGHTS" — LEGALLY RIGHT, PRACTICALLY ALREADY SOLVED, BY SOMEONE ELSE.** **Broadridge — the incumbent that runs most US proxy voting — shipped a Web3 ProxyVote integration with Ondo on 28 April 2026**, covering **250+ Ondo tokenized stocks and ETFs on Solana, Ethereum and BNB Chain, for institutional and retail holders outside the US.** The legal position is unchanged and Ondo says so plainly: the tokens are *"distinct from the underlying shares that back them, and do not confer shareholder rights to tokenholders"*; what holders get is *"rights to express preferences to the issuer of Ondo GM Tokens regarding voting of the shares that the issuer beneficially owns."* **So it is a pass-through ballot, not legal ownership — but functionally the offshore holder now votes, reads prospectuses and sees regulatory filings. Robinhood has shipped nothing comparable.**

**⚠ AND THE COMPOSABILITY EDGE IS GONE TOO.** Ondo's own page: tokens are *"freely transferable onchain outside the US ... and can be used in DeFi protocols that support them"* — already live as **collateral on Morpho** and in **Ondo Perps**. Mint and redeem are KYC-gated; secondary holding and transfer are not. 24/7 secondary trading, with 24/7 mint/redeem on NVDAon, SPYon, CRCLon, TSLAon, QQQon and GOOGLon. **So "our stock tokens are composable" is not a Robinhood Chain differentiator either.**

**WHAT LONG ACTUALLY OWNS, stated precisely: not the offshore stock market, but the casino bolted onto it.** $16,342,801 of memecoin↔stock pool liquidity (corrected figure above), the Pons/LONG launchpad culture, and round-the-clock degen flow. Its single best asset is genuine: **AI/NVDA at $7,074,466 holding 12,427 NVDA, one of the two deepest NVDA venues on that chain.** That is a distribution and culture business, not infrastructure, and it should be sized as one.

**VERDICT FOR THE BULL-MARKET STRATEGY. (1) The offshore-boom thesis survives and the right historical analogues (Binance, BitMEX, GMX) support it strongly. (2) "LONG owns the biggest non-US tokenized stock pool" is false — Ondo owns it by 12.7x, with more tickers, deeper chains, DeFi composability AND a working proxy-vote rail. (3) The honest LONG bull case is narrow: it is the memecoin layer with the best culture and the deepest single stock-paired pool on one chain, not the venue for offshore equities.**

## Ben's six-part model tested, 18 Sep 2026. Two of the six are wrong, and one is backwards.

**1. "There will be an offshore tokenized stock market." ✅ It already exists and is 12.7x Robinhood Chain: Ondo Global Markets, $926,763,044, US persons explicitly banned.**

**2. "The LONG thesis is still valid, they can own the liquidity of those pairs." PARTLY.** They own the memecoin↔stock pair liquidity on ONE chain, $16,342,801, with AI/NVDA ($7,074,466, 12,427 NVDA) as a genuinely top-two NVDA venue there. **They do not and will not own offshore tokenized-stock liquidity — Ondo owns that, on Solana, Ethereum and BNB, with 250+ tickers.** Own the casino, not the exchange.

**3. ⚠ "Permissioned stocks are for Americans only, foreigners can't get access." NOT SUPPORTED BY THE ORDER.** Chairman Atkins' 17 Sep statement: **"A TSV must be a U.S. person and comply with economic and trade sanctions programs"** — that constrains the **VENUE**, not the traders — and **"A TSV must set standards of access to allow only certain participants to trade tokenized NMS stock on the TSV"**, i.e. the venue decides who is permissioned. **Nothing in the exemption restricts participants to US persons, and non-US investors buy US equities through normal brokers every day.** The real gates are the venue's own KYC and whether the operator is licensed in a given country, so a Bangkok or Dubai resident is unlikely to be in on day one — but it is a commercial and licensing gate, not a legal ban. Stated as UNRESOLVED on the detail: the order's full participant-eligibility text was not read line by line.

**4. ⚠⚠ "Vlad was pushing for everybody to get access; this ruling was the opposite." BACKWARDS, AND THIS IS THE CORRECTION THAT MATTERS.** Tenev's actual campaign line, 18 Aug 2026: **"It would be a strange outcome if the rest of the world could build the future of ownership around American assets while Americans themselves were left behind."** He was lobbying for **AMERICAN** access, precisely because the rest of the world already had it — through his own offshore product. **The SEC granted him exactly what he asked for, which is why Robinhood, Tenev and Gallagher all welcomed the order within hours of publication.** It was not the opposite of his position; it was his position, delivered.

**5. "Robinhood and others can keep offering synthetics on non-permissioned ledgers." ✅ TRUE.** The SEC official's words on synthetics: *"They can remain out in the wilds."*

**6. ⚠⚠ "Everybody outside the US now has no option but to trade synthetics." FALSE, AND THE DIFFERENCE IS THE WHOLE POINT.** There is a quality ladder offshore, and Ben is paired to the bottom rung:
- **ONDO STOCKS, offshore, NOT a synthetic:** *"fully backed and collateralized by the corresponding stock or ETF (and cash in transit)"*, underlying *"held with one or more U.S.-registered broker-dealers or U.S.-chartered national trust companies"*, an **independent third-party Security Agent holds a first-priority security interest in the underlying assets for the tokenholders' benefit**, **dividends automatically reinvested** into the underlying (total return), redeemable to stablecoins for cash value, plus the **Broadridge proxy ballot**. What it is NOT is legal share ownership: *"Ondo Stocks and USDY tokens do not provide their holders with rights to hold or receive their respective underlying assets."*
- **ROBINHOOD OFFSHORE STOCK TOKENS, much closer to a true synthetic:** *"tokenised debt securities"* giving *"economic exposure"* that *"do not grant investors any legal or beneficial rights in, or against the issuer of, those underlying securities"*, dividends handled by a UI multiplier, no vote, no security interest disclosed, no proxy rail.

**SO THE SHARPEST CONCLUSION FOR THE BOOK: the non-US world has a real, collateralised, dividend-accruing, proxy-voting tokenized equity product today — and it is not the one the LONG ecosystem is built on. The memecoin pairs sit on top of the weakest instrument in the offshore stack. That is a quality gap, not a legal gap, and it is the thing most likely to re-rate the lane coins over time.**
